Social media training contracts, from education status to intellectual property

Review eight social media training contract areas with current UK source records, transparent selection criteria and independent specialist gates.

What to take away

  • Eight contract areas matter in a commercial social media training purchase in England.
  • Verify any claimed regulated qualification on the GOV.UK register before signing.
  • Allocate controller and processor roles by purpose, with retention, return and deletion terms agreed.
  • Settle who owns slides, recordings and learner work, and on what licence.
  • Fix price, VAT basis, cancellation and exit charges in the signed document.

No full model contract and no cost figures appear here. The example terms below are illustrations for legal review, not drafting. Sources sit on GOV.UK, ICO and CMA pages. EHRC, NCSC and HMRC pages are named in the text as well.

Education status and party identity

Record legal entities, authority to sign and the learner population. Course title, certificate and any claimed regulation belong in the same clause. The GOV.UK qualification register verifies regulated qualifications in England and Northern Ireland. Absence from the register does not make a course unlawful, but the contract must not imply a regulated status nobody holds.

For recognition claims at supplier level, see providers reviewed without a ranking.

Example term for education status

"The Provider is not an awarding organisation. No regulated qualification is included unless named in Schedule 2 and verifiable on the GOV.UK register at signature."

Scope, acceptance and advertising claims

List deliverables, trainer role, learner support, assessment and the acceptance test. CAP Code section 3 requires documentary evidence for objective advertising claims, so keep each claim attached to its substantiation.

Example term for acceptance

"Acceptance occurs when the Buyer confirms in writing that the delivered sessions and materials match Schedule 1, within the review period stated there."

Consumer buyers and cancellation rights

Identify whether the buyer acts mainly outside their business. The CMA's July 2026 fair-contract guidance explains transparency, prominence and fairness under Part 2 of the Consumer Rights Act 2015. A sole trader buying for personal use is treated differently from a company.

Do not paste consumer conclusions into a business contract without review. Withdrawal wording and course claims are handled together in advertising rules for England courses, which also covers recognition statements.

Data roles, retention and return

Allocate controller, joint-controller and processor roles by purpose. The ICO's contract guidance describes written terms and subprocessor controls, and warns the page is under review after DUAA changes. Include rights assistance, incident handling, transfers, retention and deletion.

Ownership of slides, recordings and learner work

Define ownership and licences for slides, recordings, screenshots, exercises and learner work. Set purpose, territory, duration, editing rights and reuse. IPO copyright guidance indicates that permission, acquisition or an applicable exception is generally needed, and a training label is not an exception.

Accessibility duties and security terms

Set the adjustment process, accessible formats, testing evidence and the remedy owner. The EHRC Services Code chapter 7 explains the anticipatory duty for service providers in England, Scotland and Wales.

For security and exit, state account ownership, permitted access, incident contacts, recovery and deletion evidence. NCSC publishing guidance recommends managed access and a tested recovery plan, so the clause needs an operational test.

Price, VAT and procurement limits

Record currency, VAT treatment, units and expenses. Add learner release, cancellation, renewal and exit charges. HMRC VAT Notice 701/30 shows that treatment depends on the provider, the supply and any funding. Public buyers should use the Cabinet Office Procurement Act scope module separately.

A blank England training budget that keeps every cost unit and VAT basis visible helps before you compare quotes.

Common questions

Which contract areas matter for a commercial purchase?

All eight in the table above, and none is optional. The order is a checklist, not a ranking.

How do I check a course's regulated status?

Search the GOV.UK qualification register. Absence does not make a course unlawful, but the contract must not imply a regulated status.

Who owns the slides, recordings and learner work?

That is a drafting choice for the parties. Define ownership and licence scope in writing, because a training label is not a general copyright exception.

What VAT treatment applies to social media training?

It depends on the provider, the supply and any funding. HMRC VAT Notice 701/30 sets out the categories, so record the basis in the contract.
